**Job title**
Legal Contract Administrator (Remote, Part‑Time)
**Role Summary**
Act as a strategic liaison across Sales, Partnerships, Finance, and Operations to review, negotiate, and administer commercial agreements for a SaaS/technology company. Manage full contract lifecycle, ensuring risk‑balanced legal reviews, documentation integrity, and alignment with privacy and security policies.
**Expectations**
- Complete 10‑20 hours of contract work weekly for a 6‑month term with potential extension.
- Deliver timely, accurate contract negotiations and approvals to support revenue growth.
- Maintain high quality of documentation, templates, and clause library for consistency.
- Proactively identify and recommend policy updates to mitigate future friction.
**Key Responsibilities**
- Review, redline, and negotiate MSAs, Order Forms, DPAs, SOWs, NDAs, Reseller/Referral agreements.
- Engage customers, partners, and vendors to close negotiations with win‑win outcomes.
- Balance risk and reward in legal reviews, escalating issues appropriately.
- Manage and evolve contract templates, playbooks, and clause library.
- Track status, approvals, renewals; ensure executed documents are searchable and auditable.
- Support data privacy and security requirements (GDPR, CCPA, PIPEDA, SCCs) with Security/IT.
- Analyze recurring negotiation themes and recommend policy or template improvements.
- Evaluate and implement AI tools to enhance contract review and administration efficiency.
**Required Skills**
- 5+ years in contract administration, paralegal, legal operations, or commercial negotiations within SaaS/technology.
- Proficiency in negotiating complex commercial agreements (indemnity, limitation of liability, SLAs, IP, termination, payment terms).
- Strong business judgment, risk‑balanced approach.
- Familiarity with GDPR, CCPA/CPRA, PIPEDA.
- Experience with CLM or document management tools; advanced Google Workspace/Docs skills.
- Excellent communication, organization, and stakeholder‑management skills.
- Knowledge of AI tools applicable to contract review.
**Required Education & Certifications**
- Bachelor’s degree in Business, Law, Finance, or related field (preferred).
- Professional certification(s) such as WorldCC or IACCM, or formal legal training (asset).
