**Job Title**: Corporate Lawyer (In‑House Counsel)
**Role Summary**
Provide comprehensive legal support to senior managers and executives across a multi‑activity financial services firm. Manage all facets of corporate, contract, public procurement, litigation, social, regulatory, and corporate governance matters.
**Expectations**
- Ensure full legal compliance across all business units.
- Offer timely, practical legal advice that facilitates business decisions and mitigates risk.
- Maintain up‑to‑date legal knowledge and internal policies aligning with evolving legislation.
**Key Responsibilities**
- Draft, negotiate, and review client and partner contracts, processes, and protocols.
- Conduct contractual and jurisprudence monitoring; update the internal legal library.
- Advise on public procurement: feasibility analysis, bid preparation, supplier coordination, and contract execution oversight.
- Manage pre‑litigation and litigation: prepare conciliation protocols, liaise with professional bodies, enforce judgments, resolve disputes with financial institutions.
- Draft employment contracts; handle termination procedures; oversee collective agreements and professional elections.
- Develop internal regulations, charts, risk maps, and personal data protection policies.
- Ensure compliance with regulatory obligations (INPI, ORIAS, URSSAF, professional associations).
- Conduct corporate law activities: structural governance, shareholder matters, and statutory filings.
**Required Skills**
- Expertise in contract law, negotiation, and drafting.
- Strong knowledge of public procurement law and procurement processes.
- Litigation management – from pre‑contentious to post‑judgment enforcement.
- Proficient in French labor law, collective bargaining, and employment contract administration.
- Regulatory compliance expertise (PPE, data protection, IP, professional bodies).
- Corporate governance and corporate law proficiency.
- Excellent analytical, communication, and stakeholder‑management skills.
- Ability to translate legal analysis into business‑friendly recommendations.
**Required Education & Certifications**
- Graduate degree (Bachelor/Master) in Law with a focus on business or commercial law.
- Proven experience as an in‑house counsel or corporate lawyer handling contracts, procurement, and litigation in a complex business environment.
- Up‑to‑date qualification in French commercial law; relevant certifications in contract law, procurement, or litigation management are an asset.
