Job Title Corporate & Contract Law Intern (Legal Trainee) Role Summary Provide comprehensive support to the corporate legal team by managing corporate governance documents, preparing board and shareholder meeting materials, maintaining regulatory filings, drafting and negotiating commercial contracts, and assisting with intra‑group restructuring and asset transfer documentation. Expectations • Act as a proactive legal assistant within a dynamic, mission‑driven organization; • Demonstrate strong drafting, analytical, and communication skills in a fast‑paced environment; • Deliver accurate legal documents and ensure compliance with applicable laws and internal standards. Key Responsibilities 1. Draft and finalize minutes, management reports, proxies, and attendance sheets for annual and extraordinary general meetings. 2. Prepare board of directors meetings: invitations, agendas, presentation materials, and minutes. 3. Update and maintain statutory registers; complete filing requirements with courts, registries, and regulatory bodies. 4. Draft and review internal share transfer documents (SPA, admission deeds) and support group consolidation and universal patrimonial transfer operations. 5. Assist in the review, drafting, and negotiation of all types of commercial contracts. 6. Contribute to the development and revision of group contract templates (French & English). 7. Draft contractual clauses and support the centralised contract repository and classification system. 8. Monitor contracts under negotiation, flaging key issues and deadlines. Required Skills • Strong legal writing and drafting proficiency in French; advanced English (oral and written) for bilingual documentation. • Solid grasp of corporate governance, company law, and commercial contract principles. • Familiarity with legal research tools and regulatory filing procedures. • Proficiency in Microsoft Office (Word, Excel, PowerPoint). • Excellent organisational, communication, and time‑management abilities.
