**Job Title:** Senior Counsel – Commercial Law
**Role Summary:**
Provide senior-level legal counsel on technology-related transactions for internal business units. Draft, review, and negotiate complex IT contracts, advise on data privacy, cyber‑security, and IP matters, and manage outside counsel engagement and billing.
**Expectations:**
- Deliver timely, high‑quality legal advice that mitigates risk and supports business objectives.
- Build and maintain productive relationships with internal stakeholders and external counsel.
- Manage multiple legal projects simultaneously in a fast‑paced environment.
**Key Responsibilities:**
1. Counsel IT, Communications & Digital Media, HR Technology, and Consumer Insights on projects, contracts and risk issues.
2. Draft, review, and negotiate technology and data‑focused agreements (software, hardware, SaaS, cloud, telecom, payment, social media, digital media licensing).
3. Collaborate with partners on data privacy, cyber‑security, IP, and compliance initiatives.
4. Work with senior management and other legal practice groups on complex matters.
5. Engage, review, and approve outside counsel work and invoices; provide budget recommendations.
6. Develop and maintain contract templates, playbooks, and best‑practice guides for technology transactions.
7. Advise on promotional initiatives for risk mitigation and legal compliance.
**Required Skills:**
- 6–12 years of in‑house or law‑firm experience, focused on IT contracts and technology transactions.
- Proven negotiation and drafting expertise with large technology companies (e.g., Microsoft, Oracle).
- Knowledge of IP, data privacy, and cyber‑security.
- Strong risk analysis, decision‑making, problem‑solving, and time‑management abilities.
- Excellent analytical, writing, and communication skills.
- Ability to prioritize, manage multiple assignments, and deliver results under tight deadlines.
**Required Education & Certifications:**
- Juris Doctorate from an ABA‑accredited law school.
- Licensed to practice law and in good standing under the Bar of any state that permits in‑house counsel (Florida).
