**Job Title:** Counsel, Commercial Transactions
**Role Summary:**
Corporate attorney responsible for providing legal guidance on commercial agreements, SaaS and technology contracts, due‑diligence, and strategic transactions. Supports cross‑functional teams, ensures compliance with fintech regulations, and advises on emerging AI‑related legal issues.

- Communicate clearly with internal stakeholders and external counterparties.

**Key Responsibilities:**
- Draft, review, and negotiate customer, vendor, SaaS, licensing, and non‑disclosure agreements.
- Advise management on IT/SaaS, sponsorship, and general contract matters.
- Support due‑diligence, closing documents, and post‑closing integration for ventures, investments, and acquisitions.
- Provide strategic guidance on AI usage, AI‑related contracts, and emerging technology risks.
- Develop commercial transaction templates and policies across business lines.
- Collaborate with compliance, risk, technology, operations, and other legal teams to align legal solutions with business objectives.
- Assist with additional legal department projects as needed.
**Required Skills:**
- Advanced contract drafting and negotiation proficiency.
- Strong analytical, problem‑solving, and risk‑assessment capabilities.
- Excellent written and oral communication; ability to influence and build relationships at all organizational levels.
- Ability to manage competing deadlines, prioritize tasks, and produce high‑quality work with limited support.
- Familiarity with fintech, consumer finance regulations, and AI legal considerations (preferred).
- Experience with intellectual property and M&A matters is a plus.
**Required Education & Certifications:**
- Juris Doctor (JD) degree.
- Admission to the New York and/or New Jersey State Bar.
- Minimum 6 years of practicing experience as an attorney in a U.S. law firm, financial institution, fintech, or technology company.
