Job Description
Job Title: Corporate M&A Associate Role Summary: Assist senior counsel on complex public/private mergers & acquisitions and private equity transactions across the UK and internationally, including drafting, due diligence, risk assessment, and client communication. Expactations: Deliver high‑quality legal work under tight deadlines, maintain confidentiality, collaborate with cross‑functional teams, contribute to business development, and uphold professional standards. Key Responsibilities: - Draft and review transaction documents (agreements, disclosure schedules, ancillary documents). - Conduct legal, regulatory, and financial due diligence. - Prepare legal memoranda, risk assessments, and regulatory compliance summaries. - Coordinate with finance, tax, compliance, and external advisors. - Participate in negotiations, client meetings, and briefings. - Ensure compliance with relevant regulatory frameworks (e.g., FCA, competition, AML). - Support deal execution, closing, and post‑deal integration activities. - Maintain and update transaction tracking databases. Required Skills: - Strong analytical, written, and oral communication skills. - Excellent attention to detail and ability to manage multiple tasks simultaneously. - Proficiency in MS Office, legal research tools, and document management systems. - In‑depth knowledge of corporate law, M&A structures, and private equity transactions. - Ability to work independently and collaboratively within a fast‑paced environment. - Client‑service orientation and adherence to professional conduct. Required Education & Certifications: - Qualified solicitor registered with the SRA or Law Society of Scotland (or equivalent). - Minimum 1–3 years of experience in Corporate M&A or private equity transactions.
