Job Description
**Job Title:** Corporate Law & Governance Intern (Legal) **Role Summary:** Six‑month internship supporting the Corporate & Governance legal team of an international real‑estate organization. Assist in company formation, governance, restructuring, M&A, and contract drafting in both French and English, while conducting legal research and maintaining up‑to‑date compliance monitoring. **Expectations:** - Join the Legal Corporate & Fund unit for a 6‑month period starting July. - Work on a variety of corporate legal matters for the parent company and French subsidiaries. - Collaborate with internal departments (Finance, Tax, Risk, Compliance) and overseas legal counterparts. - Produce clear, well‑structured legal documents and maintain strict confidentiality. - Demonstrate rigor, analytical ability, and strong teamwork in a fast‑paced, international environment. **Key Responsibilities:** - Assist with the full lifecycle of company set‑up (SAS, SA, SNC, SCI, SCCV) and preparation of shareholder agreements. - Draft and organise board, supervisory‑board, and general‑meeting minutes and resolutions. - Support corporate governance monitoring and compliance activities. - Contribute to restructuring, share‑sale, and acquisition projects in France and abroad. - Draft, review, and translate contracts and legal instruments (guarantees, financing agreements, management conventions, LOIs, NDAs, etc.). - Conduct legal research and prepare memoranda on corporate law, governance, and EU directives. - Perform ongoing legal watch and update internal guidelines as needed. **Required Skills:** - Solid understanding of French business and corporate law. - Fluent written and spoken English (business level). - Proficiency with Microsoft Office (Word, Excel, PowerPoint). - Strong legal drafting, analytical, and synthesis abilities. - High level of organization, rigor, and discretion. - Excellent interpersonal skills and team orientation. **Required Education & Certifications:** - Currently enrolled in a final‑year Master’s program (BAC+5) in Business Law, Corporate Law, or equivalent. - Law school student completing the Professional Legal Internship (PPI) or similar qualification. - No specific certifications required; eligibility for a legal internship is sufficient.
