Job Description: Job Title: Legal Counsel Role Summary: Provide comprehensive legal support for a B2B SaaS scale‑up, owning the commercial contracts, data privacy, and corporate governance functions to protect the business while enabling rapid growth. Expectations: Deliver risk‑mitigated agreements, maintain GDPR and SOC‑2 compliance, support corporate structuring and equity matters, and operate independently across English and French legal contexts. Key Responsibilities: - Draft, negotiate, and close customer MSAs, DPAs, SOWs, and vendor agreements. - Create and update contract templates to streamline deal velocity. - Own and administer the GDPR compliance program; coordinate SOC‑2 audit and security questionnaire responses. - Manage data processing agreements and related privacy documentation. - Support board‑level governance: minutes, resolutions, consents, and corporate filings. - Oversee equity administration and shared‑ownership structures (US INC, French SAS). - Provide pragmatic risk assessments for new initiatives and regulatory changes. Required Skills: - 6‑10+ years of legal experience, including 2+ years in‑house or SaaS‑focused. - Strong commercial contract expertise, especially B2B SaaS. - In‑depth knowledge of GDPR, data privacy, and SOC‑2 requirements. - Proficient risk assessment and mitigation mindset. - Bilingual proficiency in English and French. Required Education & Certifications: - Qualified lawyer; admitted to the French bar, US bar, or equivalent licensing.
