Job Description
**Job Title:** Associate Counsel – Legal & Contracts **Role Summary** Support in-house legal function across contract lifecycle management, compliance, export control, and corporate governance. Provide strategic legal guidance to mitigate risk and align contractual terms with business objectives. **Expectations** - Minimum 2+ years in commercial law or compliance, preferably in technology or defense sectors. - Proven ability to interpret and apply complex regulations (FAR/DFARS, ITAR/EAR). - Collaboration with cross-functional teams to resolve legal issues efficiently. **Key Responsibilities** - Draft, review, and negotiate commercial agreements (NDAs, vendor contracts, licensing), prioritizing risk mitigation and compliance. - Advise internal stakeholders on contract terms, risk allocation, and regulatory obligations. - Collaborate with Contracts Administrator to streamline intake, review processes, and lifecycle tracking. - Ensure adherence to government contract requirements (e.g., representations, certifications) and export control compliance. - Conduct legal research on statutes, regulations, and industry standards; prepare concise analytical memos. - Support dispute resolution by drafting demand letters, reservation-of-rights notices, and reviewing claims. - Manage contractual deadlines, obligation trackers, and compliance documentation systems. - Develop and maintain contract templates, clause libraries, and compliance training materials. **Required Skills** - Expertise in contract law, compliance frameworks, and government contracting standards. - Advanced legal writing/drafting skills for agreements, memoranda, and pre-dispute communications. - Analytical skills to assess legal/business risks and propose solutions. - Proficiency in legal research tools (e.g., Westlaw, LexisNexis) and knowledge of ITAR/EAR requirements. - Strong communication for translating complex legal concepts into actionable guidance. - Project management capabilities to prioritize tasks, meet deadlines, and coordinate with teams. **Required Education & Certifications** - Juris Doctor (JD) degree or equivalent legal qualification. - Admission to a jurisdictional bar or equivalent status. - Familiarity with international trade regulations and government contract law preferred.
