Involved in all project phases: legal research, drafting consultations, document review, audit support, and negotiation/closing participation. **Expectations** - Master II level (or law graduate student) specializing in business law with a focus on transactions. - Strong analytical, detail‑oriented, and teamwork skills. - Comfortable working with numbers and professional English (written and spoken). - Willingness to undertake full‑time, convention‑led internship. **Key Responsibilities** - Conduct thorough legal research on corporate, securities, and financial regulations relevant to PE deals. - Draft and review transaction documents: privacy policies, investment memos, shareholder agreements, loan and equity agreements, purchase agreements, and due‑diligence notes. - Assist in financial and operational due‑diligence, including review of audited statements and key contractual obligations. - Prepare legal consultations and memo summaries for internal use and client advisement. - Participate in client and internal meetings, contribution to negotiation points and closing documentation. - Maintain order of transaction files and liaise with other deal‑support teams (finance, compliance, risk). **Required Skills** - Proficiency in commercial law and PE transaction structures. - Strong drafting, analytical, and research capabilities. - Basic quantitative skills (financial statement review, valuation basics). - Advanced written and oral English; French language advantage (optional). - Ability to work independently and collaboratively in a fast‑paced environment. **Required Education & Certifications** - Master II or equivalent in Business Law (DJCE) or admission to CRFPA, EFB, or HEDAC. - Preferably completed additional coursework in commerce, IEP, LLM, or JD. - Prior internship experience in a law firm or in‑house corporate legal department is advantageous.
