Job Description
**Job Title** Senior Governance Associate – Professional Services (Remote) **Role Summary** Provide senior governance and corporate secretarial support for a boutique professional services firm. Responsibilities include board minute taking, entity management, company formation, and advising on compliance, primarily performed remotely with up to four travel days per month to London. **Expectations** * Remote work with up to 4 trips/month to London for client and internal meetings. * Must reside in England. * CGI membership fully funded. * Demonstrated commitment to flexible, supportive teamwork. **Key Responsibilities** * Actively support board meetings by preparing and taking precise minutes; disseminate minutes in a timely manner. * Manage Diligent Entities, including share allotments, transfers, and confirmation statements. * Organise formation of companies and other corporate entities, ensuring statutory compliance. * Advise clients on Companies Act 2006 requirements, cossec compliance, and governance best practices. * Cultivate and maintain strong client relationships, serving as a trusted governance resource. * Coordinate with internal teams to ensure seamless service delivery and adherence to regulatory obligations. **Required Skills** * Excellent minute‑taking and documentation skills. * Proficient in the Companies Act 2006 and related statutory filing obligations. * Deep understanding of Diligent Entities platform and share register management. * Strong client‑facing communication and relationship‑building abilities. * Ability to work independently in a remote setting while meeting deadlines and travel needs. * Experience with corporate governance, confidentiality, and regulatory reporting. **Required Education & Certifications** * CGI qualification (Certified Governance Institute or equivalent). * Minimum 3–5 years of governance or corporate secretarial experience within the UK. * Prior experience in an in‑house or professional services governance setting is desirable.
