Job Description
Job Title: Vice President Legal Role Summary: Provide strategic legal counsel to a fast‑growing SaaS compensation company, leading contract negotiation, policy development, and risk mitigation while supporting sales, executive leadership, and cross‑functional teams. Expactations: Deliver high‑volume contract drafting and review; manage external counsel relationships; update internal policies; ensure compliance with U.S. and global data privacy laws; act as legal advisor to the executive team; maintain a proactive legal management system. Key Responsibilities: - Draft, review and negotiate customer contracts (SaaS MSAs, NDAs, cloud software subscription agreements, data protection/addendum agreements). - Prepare and negotiate advertising, partnership, marketing, and vendor agreements. - Coordinate with and oversee outside counsel on trademark, IP, and litigation matters. - Develop, document, and update internal policies, procedures, and contract workflows. - Educate sales and other stakeholders on legal issues and best practices. - Identify and mitigate legal risks, providing recommendations to executive leadership. - Participate in continuous improvement of contracting processes and compliance controls. Required Skills: - Admission to the Massachusetts bar. - 7‑10 years of in‑house or firm experience with SaaS/MSA and technology transactions. - Expertise in contract drafting, negotiation, and management. - Familiarity with cloud software contracts and SaaS subscription agreements. - Knowledge of U.S. software IP law and global data privacy regulations (GDPR, CCPA, CPRA, Privacy Shield, SCTCs). - Strong analytical, detail orientation, and communication skills. - Ability to work efficiently under tight deadlines in a fast‑paced environment. Required Education & Certifications: - Juris Doctor (J.D.) from an accredited law school. - Bar admission in Massachusetts.
