**Job title:** Senior Commercial Counsel
**Role Summary:**
Lead legal counsel overseeing all customer and vendor commercial contracts for a fast‑growing technology services company. Drive strategy, mitigate risk, and provide expert guidance across product, sales, finance, and operations teams.
**Expactations:**
- Serve as the primary contract authority for SaaS, software licensing, and technology procurement agreements.
- Influence company strategy on customer acquisition, vendor management, dispute resolution, and risk tolerance.
- Deliver high‑quality legal work with creative, pragmatic solutions.
- Maintain strong internal and external stakeholder relationships.
**Key Responsibilities:**
- Draft, negotiate, and manage the entire lifecycle of customer and vendor contracts.
- Review and administer sales agreements, change orders, renewals, and terminations in line with policies, laws, and customer needs.
- Analyze agreements for risks and liabilities, proposing actionable mitigation strategies.
- Resolve customer disputes in collaboration with account, finance, and delivery teams.
- Advise on general corporate matters (privacy, AI, compliance, employment, real estate).
- Support business development, solicitations, and contract awards through documentation and reporting.
- Partner with legal, sales, finance, and operations to embed best practices and continuous improvement.
**Required Skills:**
- Expertise in SaaS, software licensing, and technology procurement negotiations.
- Strong analytical, risk assessment, and problem‑solving abilities.
- Excellent written and verbal communication; able to translate complex legal concepts to business stakeholders.
- Collaborative mindset; comfortable working cross‑functionally.
- Familiarity with privacy, AI, and emerging technology transactions.
**Required Education & Certifications:**
- Juris Doctor (J.D.) degree.
- Admission to a U.S. state bar in good standing (Massachusetts or New York preferred).
- Minimum 7 years of relevant legal experience in law firm and in‑house settings, focused on commercial and technology transactions.
