Job Description

**Job Title** Legal Counsel – Vendor Contracts **Role Summary** Provide legal expertise on vendor and technology contracts. Draft, review, negotiate, and advise on SaaS, consultancy, data processing, HR services, and other vendor agreements, ensuring compliance with English law and regulatory requirements. Act as the internal legal liaison for Procurement, IT, and Data Protection, manage external counsel engagement, and develop templates, playbooks, and efficiency tools. **Expectations** Deliver accurate, practical legal advice and training, mitigate legal risks, maintain regulatory awareness, and support commercial objectives of internal stakeholders. **Key Responsibilities** - Draft, review, and negotiate a broad range of vendor and technology contracts. - Advise internal teams (Procurement, IT, Data Protection) on legal implications and compliance. - Oversee external counsel engagements and manage budgeting for legal services. - Develop and maintain contract templates, guidance notes, and playbooks. - Deliver legal training to paralegals, trainees, and non‑lawyers. - Use Contract Lifecycle Management (CLM) and AI tools to streamline processes. - Monitor changes in UK law affecting vendor contracts (GDPR, financial services, AI regulations). **Required Skills** - Commercial contract drafting, reviewing, and negotiation experience. - Strong knowledge of IT and vendor agreements. - Understanding of GDPR and data protection principles. - Ability to influence and collaborate with internal stakeholders and external counsel. - Familiarity with CLM systems and AI‑assisted contract tools. - Excellent written and verbal communication skills. **Required Education & Certifications** - Qualified solicitor or barrister in the UK. - Right to work in the United Kingdom.
