Job Description
**Job Title:** General Counsel – Multinational **Role Summary:** Executive legal advisor responsible for all legal, compliance, and governance matters of a growing multinational energy platform. Advises CEO, executives, and Board on legal strategy, risk management, regulatory compliance, and corporate governance. Leads the management of contracts, litigation, IP portfolio, and M&A transactions. **Expectations:** - Deliver timely, business‑oriented legal counsel to senior leadership. - Maintain regulatory compliance across multiple jurisdictions. - Safeguard corporate interests through risk mitigation and sound legal strategy. - Execute high‑impact legal initiatives that support strategic growth. **Key Responsibilities:** 1. Advise executive team and Board on legal rights, obligations, and emerging laws. 2. Oversee all legal affairs: governance, contracts, compliance, litigation. 3. Draft, review, and negotiate commercial agreements (employment, vendor, contractor). 4. Manage regulatory compliance and ensure lawful operations. 5. Conduct legal research, manage outside counsel, and support litigation strategy. 6. Preserve corporate records, handle statutory filings (licenses, registrations). 7. Provide strategic input on corporate governance, internal policies, and decision‑making. 8. Lead or support M&A and other strategic transactions (due diligence to closing). 9. Partner with HR to align employment practices with legal standards. 10. Manage the company’s intellectual property portfolio. **Required Skills:** - Corporate, commercial, and M&A law expertise. - Strong drafting, negotiation, and communication abilities. - Business‑oriented approach to legal problem solving. - Proven experience in risk management and regulatory compliance. - Ability to collaborate with senior executives and cross‑functional teams. - High professionalism, integrity, and sound judgment. **Required Education & Certifications:** - LL.B. or J.D. from a top‑tier accredited law school. - Called to the Bar in Ontario (U.S. qualification is an asset). - Minimum 10 years of related legal experience (firm and/or corporate).
