About the Role

Our Client is seeking an experienced and business-minded General Counsel to join our executive team. This is a strategic and hands-on leadership role responsible for overseeing all legal and compliance matters across the organization. The General Counsel will serve as a trusted advisor to the CEO, executive leadership, and Board of Directors, providing guidance on corporate governance, risk management, contracts, regulatory compliance, and key business initiatives including mergers and acquisitions.

This is an exciting opportunity for a commercially focused lawyer who thrives in a dynamic environment and is eager to shape the legal and governance framework of a growing energy platform.

Key Responsibilities

Advise the executive team and Board of Directors on legal rights, obligations, and emerging laws impacting the company.
Manage all legal affairs of the organization, including governance, contracts, compliance, and litigation.
Draft, review, and negotiate a broad range of commercial agreements, including employment, vendor, and contractor contracts.
Oversee regulatory compliance and ensure the company operates within applicable laws and industry regulations.
Conduct legal research, manage outside counsel, and support the company’s litigation strategy as needed.
Maintain and preserve all corporate records and manage statutory filings such as licensing and entity registrations.
Provide strategic input on corporate governance, internal policies, and organizational decision-making.
Lead or support mergers, acquisitions, and other strategic transactions, from due diligence through to closing.
Collaborate with Human Resources to ensure employment practices are compliant and align with best practices.
Manage the company’s intellectual property portfolio, including trademarks and other proprietary rights.

Qualifications and Skills

LL.B. or J.D. degree from a top-tier, accredited law school.
Minimum of 10 years of legal experience in corporate, commercial, or M&A law, ideally with a leading law firm and/or corporate legal department.
Called to the Bar in Ontario (dual qualification in the U.S. considered an asset).
Proven experience advising on employment law, M&A, and corporate governance issues.
Strong understanding of risk management and regulatory compliance.
Excellent drafting, negotiation, and communication skills with a practical, business-oriented approach.
Demonstrated ability to work with senior executives and manage relationships across all levels of the organization.
High degree of professionalism, integrity, and sound judgment.
