Job Description
**Job Title:** Senior Legal Counsel **Role Summary:** Lead the legal function for a rapidly growing European tech company, serving as an autonomous partner to senior leadership and operational teams. Manage end‑to‑end legal matters across contracts, privacy and compliance, and corporate governance, while driving risk‑based decision making and process optimization. **Expectations:** • Act as the sole senior legal advisor with full responsibility for legal strategy and operations. • Deliver clear, business‑friendly legal guidance that balances risk mitigation with innovation and growth objectives. • Proactively anticipate regulatory changes and translate them into practicable policies and contract updates. • Build and maintain a high‑performance, structured legal service that scales with the company. **Key Responsibilities:** 1. **Legal Leadership & Strategy** – Own the legal function, set KPIs, refine tools and processes, and oversee an intern’s development. 2. **Contract Management & Negotiation** – Draft, revise, and negotiate key contracts (terms & conditions, services, AI‑related clauses, DPA, SCC, NDAs, strategic supplier agreements), maintaining balance between commercial needs and risk. 3. **Privacy & Compliance** – Ensure adherence to applicable laws (GDPR, NIS2, sector‑specific regulations), update policies, manage data subject requests, and embed privacy‑by‑design with Tech/Product teams. 4. **Corporate Governance** – Maintain governance documentation, oversee share‑holding structures, capital management, spinoff/sub‑company setup, and engagement with shareholders. 5. **Risk & Insurance Management** – Lead strategic insurance renewals (cyber, directors & officers, general liability), in collaboration with Finance. 6. **Stakeholder Collaboration** – Partner with Sales, Product, HR, Finance, and the executive board on legal matters, translating legal risks into actionable guidance. 7. **Training & Knowledge Transfer** – Develop and deliver internal training and standardized best‑practice guides for non‑legal teams. **Required Skills:** - Advanced contract drafting and negotiation (B2B, SaaS, AI data usage). - Deep knowledge of privacy laws (GDPR, NIS2) and experience implementing privacy‑by‑design. - Expertise in corporate governance, capital structure, and subsidiary formation. - Strong risk‑management mindset with the ability to propose pragmatic solutions. - Excellent written and verbal communication in English; French language desired but not mandatory. - Proven ability to simplify complex legal concepts for business stakeholders. - Self‑directed, proactive, and comfortable leading a legal function independently. - Experience operating in a fast‑moving tech environment. **Required Education & Certifications:** - Master’s degree in Law or equivalent. - Bar admission or equivalent legal qualification. - Professional certifications in data privacy (e.g., CIPP/E), risk management, or corporate governance are a plus.
